Where applicable, our UK-based partner may assist with client communication and business development in the United Kingdom. The partner’s involvement does not, by itself, mean that WebSoft Studio is a UK-incorporated company or that the partner is legally responsible for WebSoft Studio’s contractual obligations.

2. Our Services

WebSoft Studio may provide services including:

  • Website design

  • Website development

  • WordPress development

  • Elementor development

3. Quotations and Proposals

Before starting a project, we may provide a quotation or proposal describing:

  • The services to be provided

  • The project scope

  • Estimated delivery timeframe

  • Project price

  • Payment requirements

  • Number of included revisions

  • Client responsibilities

  • Any relevant third-party costs

Unless otherwise stated, a quotation is valid for 30 days from the date it is issued.

A quotation does not constitute a binding agreement until it has been accepted by the client and any required payment or deposit has been received.

4. Project Scope

We will provide the services described in the agreed project scope.

Requests that fall outside the agreed scope may be treated as additional work.

Additional work may include:

  • New pages

  • New functionality

  • Additional design concepts

  • Additional revisions

  • New integrations

  • Additional forms

  • Additional features

  • Changes to previously approved work

  • Content creation

  • Copywriting

  • Additional technical work

Where practical, we will inform you before carrying out significant additional work and may provide an additional quotation.

5. Client Responsibilities

To allow us to complete your project efficiently, you agree to provide information, materials and access reasonably required for the project.

This may include:

  • Website hosting access

  • WordPress administrator access

  • Domain or DNS access

  • Email account information

  • Brand assets

  • Logos

  • Images

  • Text/content

  • Product information

  • Business information

  • Third-party account access

  • Required approvals and feedback

You are responsible for ensuring that information and materials supplied to us are accurate and that you have the necessary rights to use them.

Delays in providing required information, access, approvals or feedback may affect the project schedule.

6. Website Content

Unless specifically included in your quotation, WebSoft Studio does not guarantee to provide:

  • Professional photography

  • Original illustrations

  • Legal documents

  • Privacy policies

  • Terms and conditions

  • Cookie policies

  • Professional legal advice

  • Specialist industry compliance documentation

  • Original copywriting

  • Translation services

Where placeholder content is used during development, the client is responsible for providing or approving the final content.

Clients remain responsible for ensuring that their website content is legally appropriate for their business and industry.

7. Client-Provided Materials

You confirm that you have the necessary rights, licences and permissions to provide us with any:

  • Images

  • Videos

  • Logos

  • Text

  • Fonts

  • Software

  • Documents

  • Product information

  • Other intellectual property

You agree to indemnify WebSoft Studio against reasonable claims arising from materials supplied by you that infringe another person’s intellectual property rights, to the extent permitted by law.

8. Design and Revisions

Where revisions are included in a project, they apply only to the scope specified in the relevant quotation or proposal.

A revision means a reasonable modification to the existing agreed design or functionality.

A revision does not mean a complete redesign or a change to the original project requirements.

Additional revisions or substantial changes may incur additional charges.

Client approval of a design, page or feature may be treated as acceptance of that stage of the project.

9. Project Timelines

We will make reasonable efforts to complete projects within the estimated timeframe provided.

However, delivery dates may depend on:

  • Client feedback

  • Content delivery

  • Third-party services

  • Hosting providers

  • Domain providers

  • Payment processing

  • API availability

  • Technical issues

  • Changes in project scope

  • Other circumstances outside our reasonable control

Estimated delivery dates are therefore not guaranteed unless a specific completion date has been expressly agreed in writing.

10. Payments

Project prices and payment schedules will be communicated in the relevant quotation or agreement.

Depending on the project, we may require:

  • A deposit before work begins

  • Milestone payments

  • Full payment before delivery

  • Payment for additional work before that work begins

Work may not begin until the required initial payment has been received.

Unless otherwise agreed, all invoices are payable by the date specified on the invoice.

11. Late Payments

If an invoice becomes overdue, we may:

  • Pause work

  • Suspend access to project services

  • Delay delivery

  • Suspend support

  • Withhold transfer of website files or assets

  • Require outstanding balances to be paid before continuing

We will generally attempt to contact the client before taking significant action.

Where legally permitted, reasonable costs associated with recovering overdue payments may also be charged.

12. Website Launch and Delivery

A website will normally be considered ready for delivery when:

  • The agreed scope has been completed

  • Included revisions have been completed

  • The client has had a reasonable opportunity to review the website

  • Required payments have been made

If a client does not provide feedback or approval within a reasonable period after being asked to review completed work, we may treat the project as delayed by the client.

13. Hosting, Domains and Third-Party Services

WebSoft Studio may work with third-party services including:

  • Hosting providers

  • Domain registrars

  • Email providers

  • Cloud services

  • Payment providers

  • WordPress plugins

  • Themes

  • APIs

  • Analytics platforms

Third-party services are subject to their own terms and conditions.

We are not responsible for outages, changes, price increases, account suspensions, API changes, security incidents or other problems caused by third-party providers.

Where a third-party subscription is required, the client may be responsible for the associated costs.

14. Third-Party Software and Plugins

WebSoft Studio may use third-party themes, plugins, libraries, APIs or other software where appropriate.

Third-party software may be subject to:

  • Separate licences

  • Subscription fees

  • Usage restrictions

  • Updates

  • Compatibility requirements

  • Third-party terms

Unless expressly stated otherwise, the client is responsible for ongoing third-party subscription or licence costs.

We cannot guarantee that third-party software will remain available or compatible indefinitely.

15. Website Maintenance

Website maintenance is not automatically included unless expressly stated in the project quotation or agreement.

Maintenance may include:

  • WordPress updates

  • Plugin updates

  • Theme updates

  • Security checks

  • Bug fixes

  • Content changes

  • Performance improvements

Where ongoing maintenance is not included, additional charges may apply.

16. Support

We aim to provide reasonable assistance to clients after project completion.

The level and duration of support will depend on the service purchased and the terms agreed with the client.

Unless expressly stated in writing, support does not mean 24/7 support.

Third-party problems, hosting outages, plugin conflicts or changes made by the client may fall outside included support.

17. Intellectual Property

Unless otherwise agreed, WebSoft Studio retains ownership of its own:

  • Development techniques

  • Code libraries

  • Frameworks

  • Reusable components

  • Templates

  • Internal tools

  • Processes

  • Pre-existing materials

Once the client has paid all amounts due for the relevant project, the client will receive the rights to use the final website deliverables created specifically for the client, subject to any third-party licences and pre-existing materials.

The transfer of ownership does not automatically include third-party software, stock images, fonts, plugins, themes, APIs or other materials licensed separately.

18. Client Intellectual Property

You retain ownership of intellectual property that you provide to us, including your:

  • Brand

  • Logo

Unless otherwise agreed in writing, WebSoft Studio may display completed work in its:

  • Website portfolio

  • Case studies

  • Social media

  • Marketing materials

We may identify the client and link to the completed website where appropriate.

If a project contains confidential information or the client requests that the project not be publicly displayed, we will respect that request where agreed in writing.

20. Confidentiality

We will treat confidential business information provided to us as confidential and will not intentionally disclose it to third parties except where:

  • Disclosure is necessary to provide the agreed services

  • Disclosure is required by law

  • You have authorised the disclosure

  • Disclosure is necessary to protect our legal rights

  • A third-party service provider requires the information to perform an agreed service

You are also responsible for protecting confidential credentials and access information provided to you.

21. Account and Password Security

Where you provide us with access to accounts, you remain responsible for maintaining appropriate ownership and administrative control of those accounts.

We recommend that clients:

  • Use strong passwords

  • Enable two-factor authentication where available

  • Avoid sharing passwords unnecessarily

  • Maintain recovery information

  • Remove access when it is no longer required

We will take reasonable steps to protect credentials provided to us.

Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by law.

Either party may request cancellation of a project.

If the client cancels after work has started, the client may be responsible for paying for:

  • Work already completed

  • Approved expenses

  • Third-party costs

  • Non-refundable licences

  • Other amounts properly due under the agreement

Changes will generally apply to future use of our website and future projects unless otherwise required by law or agreed with an existing client.

34. Governing Law

These Terms & Conditions and any agreement between WebSoft Studio and a client shall be governed by the laws specified in the applicable project agreement.

Where no separate governing-law provision has been agreed:

[CHOOSE ONE — DO NOT LEAVE BOTH]

Option A — Pakistan-based business

These Terms & Conditions are governed by the laws of Pakistan, subject to any mandatory rights or protections applicable to the client under the laws that apply to the relevant transaction.

Option B — Contract specifically intended to use England & Wales law

These Terms & Conditions are governed by the laws of England and Wales, and the courts of England and Wales shall have jurisdiction, subject to any mandatory rights or protections applicable to the client.

Do not select England & Wales simply because you are targeting UK customers. Your actual contracting entity, client type, location and contract structure matter. For a cross-border business arrangement, it is worth having a solicitor review this clause before you rely on it.
